Effective Date: January 1, 2025

This Terms of Service (“Agreement”) is a legally binding agreement between you (“Client”) and Cianic (“Provider”) for website design, development, hosting, and subscription-based services. By subscribing to any Cianic service, submitting payment, or providing billing information, you acknowledge and agree to the following terms:

1. Replacement of Prior Agreements

  • This Agreement replaces all prior contracts, agreements, proposals, and maintenance plans previously entered into with Cianic.
  • All prior development agreements, maintenance contracts, and service arrangements are hereby terminated and superseded by this Agreement.
  • Any prior payments made for standalone website development do not reduce, offset, or apply toward subscription pricing. All subscriptions include ongoing development, updates, maintenance, and support.

2. Subscription Model (Mandatory)

  • All services are provided under a required subscription model.
  • Your website depends on Cianic’s infrastructure, hosting, maintenance, and system environment to function properly. Subscription services are mandatory and non-negotiable for continued website operation.

3. Subscription Plans

  • Starter Plan: $250/month (12-month commitment). Includes up to 5 pages, 1 hour support/month, domain, hosting, security, updates, maintenance, backups, responsive design, SSL, software updates, performance optimization.
  • Professional Plan: $500/month (12-month commitment). Includes up to 10 pages, 3 hours support/month, all Starter features, special features, CMS integration, priority support and updates.
  • Premium Plan: $1000+ per month (12-month commitment). Includes unlimited pages, 8 hours support/month, all Professional features, special features, E-commerce functionality, advanced integrations and analytics.

4. Scope of Services

  • The scope of each project is determined by the selected subscription plan.
  • Cianic may, at its sole discretion, make reasonable accommodations for minor requests outside of scope.
  • Content creation, photography, videography, branding, and other digital media services are not included in any subscription plan and require a separate agreement and payment.

5. Development Process & Timeline

  • Development begins upon subscription. Average timeline is 4–6 weeks, depending on client-provided content, responsiveness, timely payments, and complexity.
  • Failure to provide content, delayed communication, or missed payments may extend timelines and does not pause billing.

6. Payment Terms

  • Subscriptions are billed on the 1st of each month, regardless of signup date.
  • Payments are automatically charged to the payment method on file.
  • Payments represent a 12-month annual obligation paid monthly. Any payment not successfully processed on the 1st of the month is considered late.

7. Payment Authorization & Acceptance

  • By providing billing information through any method (including checkout, email, text, phone, or otherwise), Client authorizes Cianic to charge their payment method, agrees to recurring billing, and accepts this Agreement in full.

8. No Refunds

  • All payments are final and non-refundable.

9. Late Payments & Service Termination

  • If more than two (2) payments are missed, or a payment is 30 days overdue, Cianic may suspend or terminate services immediately, disable hosting/website access, and remove system access.
  • Client remains fully responsible for all remaining payments in the 12-month term regardless of service termination.

10. Cancellation Policy

  • Clients may cancel after the initial 12-month term at any time. Cancellation before 12 months requires payment of the remaining balance.
  • Cianic reserves the right to terminate services at any time for non-payment, lack of communication, or uncooperative/disruptive behavior.

11. Website Access & System Control

  • Websites are built and maintained within Cianic’s systems and infrastructure.
  • While active, Client has access and usage rights. Upon termination, access is revoked and website functionality within Cianic systems ends.

12. Domain Management & Transfer

  • Domain transfers will only be completed after Cianic has approved/initiated cancellation OR the initial 12-month subscription period has been fulfilled, AND the Client has secured a new hosting provider.
  • Domain transfer does not release Client from any financial obligations under this Agreement.

13. Website Content Pack

  • Upon cancellation or termination, Client will receive a ZIP file containing website files, text, images, and assets.
  • Client acknowledges this is not a live website and a separate hosting provider is required. Elementor Pro is required for full website functionality, and the Client is responsible for obtaining their own license.

14. Third-Party Modifications

  • Unauthorized modifications by third parties void Cianic's responsibility, and may result in additional repair fees or service termination.

15. Reactivation Fee

  • Reactivation after suspension is subject to approval, all outstanding balances paid, and a potential reactivation fee.

16. Non-Solicitation

  • Client agrees not to solicit or hire Cianic employees or contractors during the term of the Agreement and for 12 months after.

17. Confidentiality

  • Client agrees not to disclose business processes, pricing, internal systems, or proprietary information.

18. Chargebacks & Disputes

  • Client agrees not to initiate chargebacks without first contacting Cianic. Improper disputes may result in immediate termination, collections, or legal actions.

19. Limitation of Liability

  • Cianic is not liable for loss of revenue, website downtime, third-party failures, client-caused issues, or external integrations.

20. Outstanding Balances & Collections

  • Cianic reserves the right to send unpaid balances to collections, pursue legal action, and recover damages.

21. Attorney Fees

  • The prevailing party in any dispute is entitled to recover reasonable attorney fees and court costs.

22. Governing Law

  • Governed by the laws of the State of California.

23. Arbitration

  • Cianic may elect to resolve disputes through binding arbitration.

24. Final Agreement

  • Subscribing, submitting payment, or providing billing info confirms the Client has read, understood, and agreed to all terms.
